User-Generated Content Consent & Rights Agreement

Agreement Overview

This User-Generated Content Consent & Rights Agreement ("Agreement") is entered into between:

• PARTAY / Kaivelu Pvt Ltd ("Company," "we," "us," or "our")
• The person uploading content to Instagram or other social media platforms using our designated hashtags ("Content Creator" or "you")

Definition of "Content"

For purposes of this Agreement, "Content" includes but is not limited to:

• All photographs, images, videos, reels, stories, and graphics
• Audio, captions, text, hashtags, and comments associated with the content
• Your username, profile picture, and account name
• Any metadata or information attached to the content
• All variations, edits, or derivatives of the original content

Content must be submitted or posted using hashtags #pocketMeinPartay or #PartayTime to be covered by this Agreement.

Grant of Rights to PARTAY

By posting Content with our designated hashtags, you GRANT PARTAY a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence to:

• Repost your Content on our Instagram page @partaymix
• Share on Facebook, TikTok, YouTube, Twitter, LinkedIn, and other platforms
• Feature in marketing materials, advertisements, and promotional campaigns
• Publish on www.partay.in and future websites

• Edit, crop, resize, filter, or alter your Content
• Add text, captions, watermarks, or branding
• Combine with other content, music, sounds, or graphics
• Create compilations, montages, or highlight reels

• Display in paid social media and Google ads
• Feature in email newsletters and marketing communications
• Include in PR materials, press releases, and media kits
• Broadcast on digital screens, in-store displays, or promotional materials
• Distribute through partner brands, influencers, or third-party marketing channels

• Create derivative works based on your Content
• Use for commercial purposes indefinitely — no time limit
• License your Content to third parties for their use
• No additional permission required before each use
• No royalty, payment, or compensation required

Content Ownership & Attribution

You retain ownership of the original Content you create. We are only obtaining a licence to use it, not ownership of it.

We will use reasonable efforts to credit your Instagram account when reposting your Content by tagging your username. However, attribution is not required and we reserve the right to use your Content with or without attribution, including in advertisements, modified versions, and formats where tagging is technically infeasible.

Your Representations & Warranties

By submitting or posting Content, you represent and warrant that:

• You own the Content or have full authority to grant these rights
• Your Content does not infringe upon anyone's intellectual property rights
• Your Content does not violate anyone's privacy or personality rights
• Your Content does not contain identifiable people without their consent
• Your Content is not defamatory, libelous, or promotes illegal activity
• Your Content complies with Instagram's Community Guidelines
• All information in your Content is accurate and truthful
• You are at least 18 years old

Indemnification

You agree to indemnify and hold harmless PARTAY, Kaivelu Pvt Ltd, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of this Agreement
• Your violation of anyone's intellectual property, privacy, or personality rights
• Any false representations or warranties
• Your Content violating laws or platform guidelines
• Third-party claims regarding ownership or rights to your Content

Release of Liability

By agreeing to this Agreement, you acknowledge and agree that:

• You will not receive payment, compensation, or consideration for granting these rights
• You grant PARTAY complete creative control over how your Content is used
• You cannot request changes or approval of how your Content is edited or presented
• This grant of rights is non-exclusive — you can continue using your own Content
• PARTAY is not obligated to use your Content in any particular way
• PARTAY may use your Content in ways you did not anticipate

Content Removal & Retention

PARTAY has no obligation to post, feature, or use your Content and may remove it at any time. However:

• PARTAY may retain copies of your Content indefinitely, even if you delete it from Instagram
• Deleting your post from Instagram does not revoke PARTAY's rights to use your Content
• If PARTAY has already reposted or archived your Content, usage rights continue
• We may continue using Content even after you delete it from your account

Privacy & Data Use

By posting with our hashtags, you consent to PARTAY collecting and using your username and profile information, account analytics (follower count, engagement rate), your location (if publicly available), and contact information you provide directly.

Our use of personal data is governed by our Privacy Policy at www.partay.in/privacy-policy.

Optional Prizes & Incentives

If PARTAY chooses to offer "Free Partay pack" or other prizes:

• No legal obligation to provide prizes
• Eligibility determined solely by PARTAY
• Winners announced at PARTAY's discretion
• Prizes subject to availability and may change
• Posting Content does not guarantee you will win a prize

Third-Party Use

PARTAY may grant rights to your Content to brand partners, advertising agencies, media partners, and influencers for reposting. You consent to these third parties using your Content under PARTAY's licence, and you will not hold third parties liable for their use of your Content.

Dispute Resolution & Governing Law

This Agreement is governed by the laws of India, specifically Haryana state law. Any disputes shall be resolved in the courts of Gurgaon, Haryana, India. You waive any right to participate in class action litigation or arbitration.
